Zinergy Warranty Terms

Valid from 1st April 2024

Definitions:

Buyer

the person who accepts a quotation or offer of the Seller for the sale of Goods

Seller

means Zinergy UK Ltd., a company registered in England under company number 09561538, of the Future Business Centre, Kings Hedges Road, Cambridge CB4 2HY, UK and includes all employees and agents of Zinergy UK Ltd.

Goods

means the goods (including any instalment of the goods or any parts for them) which the Seller is to supply in accordance with the Contract.
1.
Seller warrants to Buyer for a period of one year from the date of shipment of the Goods to Buyer that:
i
the Goods will conform to the Seller’s specifications for the Goods in force at the date of shipment of the Goods to Buyer, and
ii.
the Goods will be free from material defects in materials and workmanship.
Seller’s sole liability for any breach of warranty under this paragraph confirmed by Seller will be to repair or replace, at its option and at its expense, the defective or nonconforming Goods to a condition as warranted.
SELLER DOES NOT WARRANT OR GUARANTEE THE TECHNICAL ADVICE GIVEN BY IT IN CONNECTION WITH THE INSTALLATION OR THE USE OF GOODS SOLD HEREUNDER. SELLER DOES NOT WARRANT OR GUARANTEE THE PERFORMANCE OF THE SYSTEM TO WHICH THE GOODS ARE ATTACHED.

Seller warrants to Buyer for a period of 90 days following completion of any Services that the Services will be performed in a workmanlike manner in accordance with the agreed to specifications.

Any replacement Goods or re-performed Services will be warranted for the unexpired portion of the warranty period listed above.

TO THE EXTENT NOT PROHIBITED BY LAW, THERE ARE NO OTHER WARRANTIES EXPRESS OR IMPLIED EXCEPT AS PROVIDED IN THIS SECTION; SELLER DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTABILITY OR SATISFACTORY QUALITY OR FITNESS FOR ANY PARTICULAR PURPOSE. SELLER DISCLAIMS ANY WARRANTY AS TO THE QUALITY, CAPACITY, EFFICIENCY, CONDITION OR PERFORMANCE OF THE GOODS, EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT SIGNED BY SELLER.
5.
Seller expressly disclaims any warranty obligations in those instances where the failures resulted from:
a)
Modification of the goods or services by buyer or its customer,
b)
Improper handling, post-processing, storage, usage, installation, maintenance or any failure to follow accepted industrial practice or any specific instructions provided by seller,
c)
Improper connection to or electrical loading by external circuits attached to the Goods,
d)
Buyer has used or repaired the goods or subject of the services after discovery of the defect without seller’s prior written consent,
e)
Buyer refuses to permit seller to examine the goods or services and operating data to determine the nature of the defect claimed,
f)
Buyer fails to meet its obligations, or
g)
Any other cause beyond the control of seller.
6.
Goods not manufactured by seller are subject only to warranties of seller’s vendors and seller hereby assigns to buyer all rights in such vendor’s warranties. However, seller will furnish to buyer reasonable assistance in enforcing such rights.

Claims Process

In order to process a claim under this warranty, Buyer must request a Return Material Authorisation (RMA) form from Seller before any product can be returned to Seller. No claims will be allowed for labour, rework, transportation or other expense incurred by Buyer, without prior written approval of Seller.
